Terms of Service - RoleDream

Welcome to RoleDream. These Terms of Service ("Terms") constitute a legally binding agreement between you and RoleDream ("Company", "we", "us", or "our") governing your access to and use of the RoleDream work mapping platform and related services.

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

1. Definitions

The following definitions apply throughout these Terms:

"Account" means the user account you create to access and use the Services, including all associated credentials and settings.
"Authorized User" means any individual who is authorized by a Customer to access and use the Services under the Customer's Account.
"Customer" means the individual or entity that has entered into these Terms with RoleDream to use the Services.
"Customer Data" means all data, content, and information that you or your Authorized Users submit, upload, or create within the Services, including workflow mappings, process documentation, task definitions, team structures, and any other information related to your work operations.
"Documentation" means the user guides, help articles, and other documentation made available by RoleDream describing the features and functionality of the Services.
"Free Tier" means the version of the Services available at no charge, subject to the limitations described in these Terms.
"Paid Plan" means any subscription plan for which fees are charged, providing access to additional features and capacity beyond the Free Tier.
"Services" means the RoleDream work mapping platform, including all features, functionality, APIs, integrations, and related services provided by RoleDream.
"Subscription Term" means the period during which you have active access to a Paid Plan.
"User" means any individual who accesses or uses the Services, whether as a Customer or an Authorized User.

2. Account Registration and Eligibility

2.1 Eligibility

To use the Services, you must be at least 16 years of age (or the age of majority in your jurisdiction, if higher). By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2.2 Account Creation

To access certain features of the Services, you must create an Account. When creating an Account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your Account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your Account
Notify us immediately of any unauthorized access or use of your Account

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials. RoleDream shall not be liable for any loss or damage arising from your failure to maintain the security of your Account. We recommend using strong, unique passwords and enabling any available security features such as two-factor authentication.

3. Subscription Plans and Fees

3.1 Free Tier

RoleDream offers a Free Tier that allows you to access basic features of the Services at no cost. The Free Tier is subject to the following limitations:

Limited number of workflow maps and projects
Restricted team size and collaboration features
Limited access to AI-powered insights and recommendations
Basic support only (community forums and documentation)
No service level guarantees or uptime commitments

We reserve the right to modify Free Tier limitations at any time. Significant changes will be communicated with reasonable notice.

3.2 Paid Plans

Paid Plans provide access to additional features, increased capacity, and enhanced support. Specific features and pricing for Paid Plans are described on our website or in a separate order form.

3.3 Payment Terms

For Paid Plans, you agree to pay all applicable fees as described at the time of purchase. Fees are:

Billed in advance on a monthly or annual basis, as selected
Non-refundable except as expressly stated in these Terms or required by applicable law
Exclusive of applicable taxes, which will be added where required
Subject to automatic renewal unless you cancel before the renewal date

3.4 Upgrades and Downgrades

You may upgrade your subscription at any time. Upgrades take effect immediately, with fees prorated for the remaining Subscription Term. You may downgrade your subscription, which will take effect at the end of your current Subscription Term. No refunds or credits are provided for downgrades or unused portions of your current term.

3.5 Late Payments

If payment is not received within 30 days of the due date, we may suspend access to Paid Plan features until payment is received. We may also charge interest on overdue amounts at the rate of 1% per month or the maximum rate permitted by applicable law, whichever is lower.

4. Use of the Services

4.1 License Grant

Subject to your compliance with these Terms, RoleDream grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the applicable Subscription Term.

4.2 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

Use the Services in any manner that violates applicable laws or regulations
Infringe upon or misappropriate the intellectual property rights of others
Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
Attempt to gain unauthorized access to the Services, other accounts, or related systems
Interfere with or disrupt the Services or servers or networks connected to the Services
Use automated means (bots, scrapers, etc.) to access the Services without our express written permission
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
Use the Services to develop a competing product or service
Resell, sublicense, or provide access to the Services to third parties without authorization
Use the Services to send spam, unsolicited messages, or engage in phishing activities
Upload or transmit viruses, malware, or other malicious code
Circumvent any security measures or access controls of the Services

4.3 Service Modifications

We reserve the right to modify, update, or discontinue features of the Services at any time. For material changes that negatively affect your use of the Services, we will provide at least 30 days' notice where practicable. Continued use of the Services after such changes constitutes acceptance of the modified Services.

5. Customer Data

5.1 Ownership

You retain all rights, title, and interest in and to your Customer Data. RoleDream does not claim ownership of any Customer Data you submit to the Services. Your workflow mappings, process documentation, team information, and other content you create remain yours.

5.2 License to RoleDream

You grant RoleDream a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display your Customer Data solely as necessary to provide the Services to you. This license terminates when you delete your Customer Data or close your Account, except as required for backup, legal compliance, or as otherwise specified in our Privacy Policy.

5.3 Responsibility for Customer Data

You are solely responsible for the accuracy, quality, integrity, and legality of your Customer Data and the means by which you acquired it. You represent and warrant that you have all necessary rights and consents to submit Customer Data to the Services and to grant the licenses described in these Terms.

5.4 Prohibited Content

You agree not to submit Customer Data that contains:

Sensitive personal information such as health records, financial account numbers, or government identification numbers, unless specifically authorized under a separate agreement
Content that infringes upon intellectual property rights of third parties
Content that violates applicable laws or regulations
Malicious code, viruses, or other harmful components

5.5 Data Security

We implement appropriate technical and organizational measures to protect Customer Data as described in our Privacy Policy. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security of Customer Data.

6. Anonymous Data and Aggregation

6.1 Aggregated and Anonymized Data

To improve our Services and provide better recommendations to all users, RoleDream may create aggregated, anonymized data derived from Customer Data and usage patterns. This anonymized data:

Is stripped of all personally identifiable information
Cannot be used to identify you, your organization, or any individual
May be used to improve our algorithms, develop new features, and provide industry insights
Powers our recommendation engine to suggest workflow improvements

6.2 Opt-Out Right

While anonymous data aggregation is enabled by default, you have the right to opt out of having your data included in aggregated datasets. You can exercise this right through your Account settings or by contacting us at privacy@roledream.io. Opting out will not affect your access to or use of the Services, though some recommendation features may be less personalized.

6.3 Ownership of Aggregated Data

RoleDream owns all aggregated, anonymized data created from the aggregation process. This data may be used for any lawful business purpose, including but not limited to product improvement, research, and the creation of industry benchmarks and reports.

7. AI and Recommendation Engine

7.1 AI-Powered Features

RoleDream uses artificial intelligence and machine learning technologies, including integration with third-party large language models (LLMs), to provide features such as:

Workflow analysis and bottleneck detection
Process improvement recommendations
Automated insights and pattern recognition
Natural language processing for workflow documentation

7.2 Data Processing for AI Features

To provide AI-powered features, your Customer Data may be processed by our AI systems and, where necessary, by third-party AI service providers. We maintain appropriate data processing agreements with all such providers. Details about our data processing practices are available in our Privacy Policy.

7.3 AI Output Disclaimer

AI-generated insights, recommendations, and analyses are provided for informational purposes only. While we strive for accuracy, AI outputs may contain errors, inaccuracies, or may not be suitable for your specific circumstances. You are solely responsible for evaluating and deciding whether to implement any AI-generated recommendations. RoleDream does not guarantee the accuracy, completeness, or reliability of AI-generated content.

8. Service Availability

8.1 Availability Commitment

RoleDream uses commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week. However, the Services may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice where practicable)
Emergency maintenance or security updates
Factors beyond our reasonable control (force majeure events)
Third-party service provider outages

8.2 No SLA for Free Tier

The Free Tier is provided without any service level guarantees or uptime commitments. We do not guarantee any specific level of availability or performance for Free Tier users.

8.3 Paid Plan Service Levels

Customers on Paid Plans may be eligible for service level commitments as described in a separate service level agreement (SLA) or order form. Any such SLA shall be incorporated into these Terms by reference.

9. Intellectual Property

9.1 RoleDream Intellectual Property

The Services, including all software, algorithms, user interfaces, designs, graphics, trademarks, service marks, logos, and other intellectual property embodied in or associated with the Services, are owned by RoleDream or our licensors. These Terms do not grant you any right, title, or interest in such intellectual property except for the limited license to use the Services as expressly provided herein.

9.2 Restrictions

You may not:

Copy, modify, or create derivative works of the Services
Use RoleDream trademarks without our prior written consent
Remove, alter, or obscure any proprietary notices on the Services
Attempt to access or use any source code of the Services

9.3 Feedback

If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant RoleDream a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

ROLEDREAM SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

The Services will meet your specific requirements
The Services will be uninterrupted, timely, secure, or error-free
The results obtained from the Services will be accurate or reliable
Any errors in the Services will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, warranties are limited to the minimum extent permitted by applicable law.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROLEDREAM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities
Loss of data or data corruption
Loss of goodwill or reputation
Cost of procurement of substitute services
Any other intangible losses

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if RoleDream has been advised of the possibility of such damages.

11.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROLEDREAM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED:

For Paid Plan customers: The greater of (a) the total fees paid by you to RoleDream during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100).
For Free Tier users: One hundred euros (EUR 100).

11.3 Essential Purpose

These limitations of liability reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between the parties. The limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

12. Indemnification

You agree to indemnify, defend, and hold harmless RoleDream and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Services in violation of these Terms
Your Customer Data or any content you submit through the Services
Your violation of any applicable law or regulation
Your violation of any third-party rights, including intellectual property rights
Any dispute between you and a third party related to your use of the Services

We will provide you with prompt notice of any such claim and reasonable cooperation in its defense. You may not settle any claim without our prior written consent if the settlement would impose any obligation on us or admit liability on our behalf.

13. Term and Termination

13.1 Term

These Terms commence on the date you first access or use the Services and continue until terminated as provided herein. For Paid Plans, the Subscription Term is as specified at the time of purchase and will automatically renew for successive periods of the same duration unless cancelled prior to the renewal date.

13.2 Termination by You

You may terminate your Account at any time through your Account settings or by contacting us. For Paid Plans, termination will take effect at the end of your current Subscription Term, and no refunds will be provided for unused portions of the term.

13.3 Termination by RoleDream

RoleDream may terminate or suspend your access to the Services:

Immediately if you breach any material provision of these Terms
Upon 30 days' notice for any reason or no reason (with a prorated refund for any prepaid fees for the unused portion of the Subscription Term)
Immediately if required by law or to prevent harm to our systems, other users, or third parties

13.4 Effect of Termination

Upon termination:

Your right to access and use the Services will immediately cease
You may request a copy of your Customer Data within 30 days of termination, after which we may delete it
We will delete your Customer Data in accordance with our data retention policies and Privacy Policy, subject to legal retention requirements
Sections of these Terms that by their nature should survive termination will survive, including Sections 5 (Customer Data), 9 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 15 (Governing Law)

13.5 Data Retention After Termination

Following Account termination, we will retain your Customer Data for up to 30 days to allow for data export. After this period, Customer Data will be deleted from our active systems. Backup copies may be retained for a limited additional period in accordance with our standard backup procedures. Aggregated, anonymized data derived from your Customer Data prior to termination will be retained as described in Section 6.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@roledream.io. We will attempt to resolve the dispute through good-faith negotiations within 60 days of receiving your notice.

14.2 Judicial Resolution

If a dispute cannot be resolved through informal negotiation, either party may initiate legal proceedings in accordance with the governing law and jurisdiction provisions in Section 15. We do not require mandatory arbitration for disputes with EU-based users.

14.3 Consumer Rights

Nothing in these Terms shall affect your statutory rights as a consumer under applicable EU consumer protection laws. If you are a consumer in the European Union, you may also have the right to submit disputes to the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

15.2 Jurisdiction

Subject to any mandatory consumer protection laws that may apply, any disputes arising out of or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia.

15.3 Consumer Protection

If you are a consumer resident in the European Union, you will benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and RoleDream regarding the Services and supersede all prior agreements, understandings, and communications.

16.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

16.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16.4 Waiver

The failure of RoleDream to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by RoleDream.

16.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. RoleDream may assign these Terms freely to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of our assets.

16.6 Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of governmental authorities, epidemics, or failures of third-party telecommunications or power supply.

16.7 No Third-Party Beneficiaries

These Terms are for the benefit of the parties hereto and are not intended to confer any rights on any third party.

16.8 Language

These Terms are drafted in English. If translated into another language, the English version shall prevail in case of any inconsistency.
